Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Syntactic Digital LTD ("Company", "we", "us") governing your access to and use of the censorble.studio platform, website, and related services (collectively, the "Service").

By registering an account, purchasing Gem Packs, uploading video content, or otherwise using the Service in any manner, you agree to these Terms in their entirety. Your continued use of the Service following any updates to these Terms constitutes ongoing acceptance.

We do not knowingly permit minors to register accounts or use the Service. If we become aware that a user is under the age of 18, we reserve the right to immediately suspend or permanently terminate that account without notice and to delete all associated data.

If you believe a minor has created an account, please contact us immediately at contact@censorble.studio. Parents and guardians are responsible for monitoring their children's online activity.

3.1 Creating an Account

To access core features of the Service, you must register for an account using our Firebase-powered authentication system. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

3.2 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account, whether authorised by you or not.
• Immediately notifying us of any suspected unauthorised access to your account.

3.3 One Account Per User

You may not create multiple accounts, share your account with others, or transfer your account to a third party. Accounts found to be duplicated may be suspended without notice.

3.4 Account Security

We implement commercially reasonable security measures through Firebase Authentication. However, you acknowledge that no method of transmission over the internet or electronic storage is 100% secure. You agree not to attempt to bypass, disable, or interfere with any security features of the Service.

4.1 Nature of Gems

Gem Packs are purchased bundles of processing tokens ("Gems") used within the Service to apply video editing effects and tools. Gems are virtual items with no monetary value and cannot be exchanged for cash, credit, or any other currency.

4.2 Purchases

All Gem Pack purchases are final. By completing a purchase, you acknowledge that:

• Gems are a consumable digital good and are used upon applying video edits.
• We do not offer refunds for purchased Gems, except as required by applicable consumer protection law.
• Gems have no expiry date unless otherwise stated at the time of purchase.
• Gem balances are tied to your account and are non-transferable.

4.3 PayPal as Payment Processor

All Gem Pack purchases are processed exclusively through PayPal. By initiating a purchase, you agree to be bound by PayPal's User Agreement and PayPal's Privacy Statement in addition to these Terms.

• We do not store, process, or have access to your full payment card number, bank account details, or PayPal credentials.
• PayPal acts as an independent data controller for data you provide to them during checkout. Their data practices are separate from ours.
• PayPal is PCI DSS compliant. Your financial data is transmitted and stored according to their security standards.
• Any dispute relating to a PayPal transaction (e.g. chargebacks, disputes) must be raised with PayPal directly. We will cooperate with PayPal dispute resolution as required.
• PayPal may decline or hold transactions in accordance with their own fraud prevention policies, for which we bear no responsibility.

4.4 Pricing & Taxes

All prices are listed in USD and include applicable taxes where required. We reserve the right to change pricing at any time with reasonable notice to users. You are responsible for any additional taxes, levies, or fees imposed by your local jurisdiction.

4.5 Chargebacks & Fraudulent Transactions

Initiating a fraudulent chargeback or payment dispute for a Gem Pack you have legitimately received constitutes a breach of these Terms. We reserve the right to permanently suspend accounts involved in fraudulent payment activity and to recover costs incurred as a result of illegitimate chargebacks.

4.6 Account Termination & Gems

If your account is terminated for a violation of these Terms, any unused Gems are forfeited without compensation. If you voluntarily close your account, please contact support before doing so if you have a significant Gem balance.

5.1 Your Responsibility

You retain ownership of all video content you upload to the Service ("User Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your content solely for the purpose of providing the Service to you.

5.2 Content Representations

By uploading any content, you represent and warrant that:

• You are the sole creator or have all necessary rights, licences, and permissions to upload and use the content.
• The content does not infringe any third party's intellectual property, privacy, or publicity rights.
• The content complies with all applicable laws and regulations in your jurisdiction and ours.
• You have obtained all necessary consents from any identifiable individuals appearing in the content.
• The content does not contain any material that is unlawful, harmful, abusive, or otherwise in violation of these Terms.

5.3 Content Moderation

We reserve the right (but not the obligation) to review, screen, remove, or refuse any User Content at our sole discretion, without notice, and without liability to you.

You must not upload, share, create, or otherwise engage with content or conduct that:

• Is illegal, obscene, defamatory, threatening, harassing, fraudulent, or invasive of privacy.
• Depicts, glorifies, promotes, or facilitates violence, self-harm, or harm to others.
• Constitutes child sexual abuse material (CSAM) or any sexualised content involving minors. Zero tolerance. All such content will be reported to relevant authorities immediately.
• Infringes any intellectual property rights, including copyrighted music, film, or trademarks.
• Constitutes non-consensual intimate imagery ("deepfakes" or similar).
• Is used to stalk, harass, or bully any individual.
• Involves the automated access, scraping, or data harvesting of the Service.
• Attempts to introduce malware, viruses, or otherwise disrupt the Service.
• Involves impersonating another person or misrepresenting your affiliation with any entity.
• Violates any applicable local, national, or international law or regulation.

All platform elements — including but not limited to the interface design, logo, software, editing tools, Gem system, and underlying technology — are the exclusive intellectual property of Syntactic Digital LTD and are protected by applicable copyright, trademark, and other IP laws.

You may not copy, reproduce, modify, reverse-engineer, disassemble, or create derivative works from any part of the Service without our express written permission.

8.1 Our Security Measures

We implement industry-standard security practices, including encrypted data transmission (TLS/HTTPS), Firebase's built-in security infrastructure, access controls, and regular security reviews. We take the protection of your data seriously.

8.2 Unauthorised Access

Any attempt to gain unauthorised access to the Service, other users' accounts, our servers, or related systems is strictly prohibited and may constitute a criminal offence under applicable computer misuse and cybercrime laws. We reserve the right to pursue civil and criminal remedies against any individual or entity found to be engaging in such activity.

8.3 Data Breach Notification

In the event of a data breach that is likely to result in a risk to your rights and freedoms, we will notify affected users and relevant regulatory authorities in accordance with applicable law and within legally required timeframes.

8.4 Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of data, revenue, profits, or goodwill arising from your use of the Service.
• Unauthorised access to or alteration of your transmissions or data by third parties, despite our security measures.
• Any damages resulting from your violation of these Terms.

Our total aggregate liability to you shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

8.5 Indemnification

You agree to indemnify, defend, and hold harmless Syntactic Digital LTD , its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:

• Your use of the Service or breach of these Terms.
• Any content you upload, including claims of intellectual property infringement or unlawful material.
• Your violation of any applicable law or the rights of a third party.
• Any fraudulent, deceptive, or harmful actions you take in connection with the Service.

We reserve the right to suspend or permanently terminate your account and access to the Service, at our sole discretion, with or without notice, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including IP rights, disclaimers, and limitation of liability) will survive.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, merchantability, or uninterrupted service.

We do not warrant that the Service will be error-free, virus-free, or that defects will be corrected. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

These Terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Before initiating any formal dispute, you agree to first contact us in good faith at [legal@yourapp.com] to attempt to resolve the matter informally.

We may update these Terms from time to time. When we make material changes, we will notify registered users via email or an in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

We recommend reviewing this page periodically. The "Effective Date" at the top of this document will always reflect the most recent version.
